Friends of Denver Constitution
1. Name
The name of the organisation is Friends of John Denver
2. Aims and Objectives
Friends of John Denver is a non-profit making organisation financed entirely through donations and fund raising activities.
The main aims and objectives of the organisation are to:
- Celebrate the life and work of John Denver, ensuring that his music lives on to touch the hearts, minds and spirit of future generations as it does for us.
- Perpetuate a sense of family and belonging, by keeping people in regular contact with one another, maintaining a web site, encouraging regional groups, and holding regular gatherings.
- Raise money for charities which John actively supported, and local, national and international charities whose aims are similar, and which are trying to make a positive contribution to the world in which we all live.
- Demonstrate a shared commitment to the environment and nature by supporting locally based schemes, such as recycling initiatives.
- Raise awareness that there is a better way to care for the world in which we live.
3. Membership
- Membership is open to all people who support the aims and objectives of the organisation.
- Membership will entitle each member to be kept informed by email or “snail” mail of events organised by the club.
- All members will also be entitled to vote on issues considered by the club President/Chairperson to be central to the running of the club.
- Renewal or Cessation of membership.
Renewal of membership is not required. All members will remain on the membership list until they ask to be removed.
- Members’ names and personal details (including addresses and telephone numbers) will not be disclosed to other members without permission.
4. Administration
- The club is administered by the current President/Chairperson with assistance from volunteer members. No one receives any payment.
- Any member who wishes to participate in the administration of the club may offer to do so at any time. Any such offers will be considered according to the skills of the volunteer and the needs of the club at the time.
5. Finance
- The President/Chairperson shall retain financial authority for day-to-day expenditure.
- Receipts will be required before any out of pocket expenditure can be reimbursed.
- Any charitable donations in excess of £50 made in the name of the club must be agreed by the members. This will normally be achieved by seeking agreement at one of the gatherings mentioned in paragraph 2b) above, or in urgent cases such as disaster relief, by email.
- Each year a summary statement of accounts will be sent to all members who have provided an email address. Paper copies and more detailed information will be available on request.
- The club is unable to accept responsibility for any expenses incurred by a member or his/her guest as a result of attendance at, or travel to or from, any event organised by or in the name of Friends of John Denver
6. Amendments
Notice of any changes to the constitution will be given to the membership by email. They will be given 14 days to respond indicating their acceptance or rejection of the change(s). The change(s) will be implemented provided that no more than ten per cent of the membership rejects the proposed change(s).
7. Dissolution
Friends of John Denver may be dissolved provided that all members have been informed of the decision in writing not less than thirty days prior to dissolution.
In the events of dissolution, any assets of Friends of John Denver will be:
- Firstly used to pay any outstanding debts which may exist at the time of dissolution.
- Then any remaining assets will be donated to another group or charity with similar aims and objectives.
